Terms of Service

1. Parties and Scope

These Terms of Service ("Terms") are entered into between LuminaPath Inc, doing business as BatchIn ("BatchIn," "we," "us"), and you (individually or on behalf of an entity, "Customer"). They govern access to and use of our website, console, API, batch processing, VaaS audit, and GPU rental services.

2. Accounts and Organizational Responsibility

Customer must provide accurate registration information and keep it current. Customer is responsible for all activities under its accounts, API keys, wallets, and sub-users, including actions by employees, contractors, and agents, and must promptly notify BatchIn of unauthorized access.

3. Customer Responsibilities and Compliance

Customer is solely responsible for ensuring that inputs, datasets, model usage, and outputs comply with applicable laws, regulations, contractual obligations, and third-party rights. Prohibited uses include unlawful activity, infringement, abuse, security circumvention, and sanctions/export-control violations.

4. Acceptable Use Restrictions

Unless expressly authorized, Customer may not reverse engineer, scrape, copy, resell, or misuse the Services; bypass authentication, rate limits, or billing controls; or conduct abusive traffic that degrades platform stability. BatchIn may limit or suspend access for security or compliance reasons.

5. Fees, Taxes, and Payment

Services may be billed usage-based (tokens/requests) or reserved-capacity (e.g., dedicated GPUs). Unless otherwise agreed, fees are denominated in USD and invoiced by billing cycle. Customer is responsible for applicable taxes other than taxes on BatchIn’s net income.

6. USDC Payment Policy

Where supported, USDC payments must be made using approved chains and destination addresses. Confirmed on-chain payments are generally irreversible. Customer is responsible for wallet accuracy, network/transaction fees, lawful source of funds, and compliance obligations. Losses from incorrect chain/address or third-party wallet failures are Customer’s responsibility.

7. Service Levels and SLA

Paid enterprise plans may be subject to a separate SLA defining uptime targets, incident response, and service credits. If no separate SLA applies, Services are provided "as is" without guaranteed availability. Exclusions may include scheduled maintenance, force majeure, upstream outages, and Customer-caused incidents.

8. Data, Privacy, and Three-No Architecture

Customer retains rights to its inputs and business data. BatchIn follows a Three-No Architecture: no training of our own models on customer content, no sale of customer content, and no retention of raw customer content beyond what is necessary to provide and secure the Services.

9. Intellectual Property and Feedback

BatchIn and its licensors retain all rights in the Services, software, documentation, and marks. Customer retains rights to Customer data. Feedback may be used by BatchIn to improve Services without further consent or compensation.

10. Third-Party Models and Dependencies

The Services may involve third-party models or infrastructure. Their capabilities, availability, and output constraints may be subject to third-party terms. Customer remains responsible for evaluating outputs before operational or legal reliance.

11. Disclaimers

To the maximum extent permitted by law, Services are provided "as is" and "as available." BatchIn disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, output accuracy, and uninterrupted operation.

12. Limitation of Liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages. BatchIn’s aggregate liability in any rolling 12-month period will not exceed the fees paid by Customer to BatchIn during that period.

13. Term, Suspension, and Termination

These Terms begin upon first use and continue until terminated. BatchIn may suspend or terminate access for breach, legal requirements, security risk, or non-payment. Accrued payment obligations survive termination, as do provisions that by nature survive.

14. Governing Law and Disputes

Unless otherwise set forth in an executed agreement, these Terms are governed by applicable law and resolved under the agreed dispute process. The parties will attempt good-faith resolution before formal proceedings.

15. Changes and Contact

BatchIn may update these Terms from time to time and will provide notice of material changes. Continued use after the effective date constitutes acceptance. Legal inquiries: hello@luminapath.ai.
